1. ACCEPTANCE OF TERMS

1.1. The Contract.

These Terms of Service ("Terms") are a binding legal agreement between you and andAbout Inc. ("andAbout," "we," "us"). By creating an account, accessing the platform, or claiming a business listing, you agree to be bound by these Terms.

1.2. Definitions.

  • User: An individual browsing, booking, or interacting with content on the Platform (consumer).
  • Merchant: A business, entity, or individual who claims, manages, or creates a business profile or event (provider).
  • Dual Role: If you operate as both a User and a Merchant, you are bound by the specific terms applicable to each activity.

2. THE PLATFORM "AS IS"

2.1. The OS for Experience.

andAbout is a technology platform that connects Users with Merchants. We do not own, operate, or control the Merchants. We provide the digital infrastructure, but the actual experience (the dinner, the tour, the event) is the sole responsibility of the Merchant.

2.2. No Endorsement.

Our AI recommendation engine suggests places based on data. These suggestions do not constitute a guarantee of quality, safety, or legality. You engage with Merchants at your own risk.

3. TERMS FOR USERS (The Consumers)

3.1. Bookings & Tickets.

When you book a table or buy a ticket through andAbout:

  • Contract: The contract is directly between you (the User) and the Merchant.
  • Availability: Real-time inventory is managed by the Merchant. We are not responsible for errors in their availability (e.g., double bookings).

3.2. Cancellations & Refunds.

  • Policies: Each Merchant sets their own cancellation and refund policy. You must review these before booking.
  • Disputes: If a Merchant denies a refund, you must resolve it directly with them. andAbout may facilitate communication but has no liability to refund you out of pocket.

3.3. Conduct.

You agree not to leave fake reviews, harass Merchants, or use the Platform for any illegal purpose.

4. TERMS FOR MERCHANTS (The Businesses)

4.1. Claiming Your Profile & Verification (KYC).

  • Authority: You represent and warrant that you have the authority to claim and manage the business listing.
  • Verification: To prevent fraud, you agree to provide government-issued identification or business registration documents upon request. Failure to provide satisfactory verification may result in the immediate suspension of your ability to accept bookings or receive payouts.

4.2. Zero-Commission Model.

Currently, andAbout operates on a zero-commission basis for bookings. You keep the revenue from ticket sales (minus standard third-party payment processing fees, e.g., Stripe/Credit Card fees, which are deducted automatically).

  • Right to Modify: We reserve the right to introduce transaction fees or commissions in the future upon 30 days' notice. Continued use implies acceptance.

4.3. SaaS Subscriptions.

If you upgrade to a Premium or Pro tier:

  • Billing: Fees are billed in advance on a recurring monthly/annual basis.
  • No Refunds: Subscription fees are non-refundable, even if you cancel mid-period.

4.4. Merchant Warranties.

You represent that:

  • Your services comply with all local laws (health, safety, zoning).
  • You hold all necessary licenses to operate.
  • The content you upload (photos, menus) does not infringe third-party IP.

5. CONTENT & INTELLECTUAL PROPERTY

5.1. Our IP & Derived Data.

andAbout owns the Platform, the AI algorithms, the "Interest Graph," and all aggregated data derived from the system. You acknowledge that any data we collect (as described in our Privacy Policy) may be used to train our AI, and andAbout retains exclusive ownership of these trained models and insights.

5.2. Your License to Us.

By posting content (photos, descriptions, reviews), you grant andAbout a non-exclusive, worldwide, royalty-free, perpetual license to use, display, and modify that content to operate and promote the Platform (including in marketing materials and AI training).

6. PROHIBITED ACTIVITIES & AUTOMATED SECURITY

6.1. No Scraping.

You agree NOT to:

  • Use any robot, spider, scraper, or automated means to access the Platform for any purpose without our express written permission.
  • Copy our directory data to build a competing service.

6.2. Automated Fraud Detection.

We use automated systems to detect fraud, abuse, and policy violations. We reserve the right to block transactions, suspend accounts, or freeze payouts without prior notice if our systems flag activity as high-risk. We are not liable for any damages resulting from such automated suspensions, provided we offer a mechanism for appeal.

7. THIRD-PARTY SERVICES

  • No Liability: These third parties operate under their own Terms and Privacy Policies. We are not responsible for their acts, omissions, or data handling practices.
  • Data Sharing: You consent to the transfer of necessary data to these partners to facilitate your use of the Platform.

8. DISCLAIMERS & LIMITATION OF LIABILITY (The Shield)

8.1. Disclaimer.

The Platform is provided "AS IS." To the maximum extent permitted by law, andAbout disclaims all warranties, express or implied, including MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.

8.2. Liability Cap.

In no event shall andAbout be liable for indirect, incidental, or consequential damages (including lost profits). Our total liability to you for all claims SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID US IN THE LAST 12 MONTHS, OR (B) $100 USD.

8.3. Indemnification.

You agree to indemnify and hold andAbout harmless from any claims arising out of your breach of these Terms, your violation of any law, or (for Merchants) any dispute with a User regarding your services.

9. GOVERNING LAW & DISPUTE RESOLUTION

9.1. Jurisdiction.

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles.

9.2. Arbitration.

Any dispute arising under these Terms shall be resolved by binding arbitration in Delaware. You waive your right to a class action lawsuit.

9.3. Local Compliance.

Users are responsible for complying with all local laws applicable to their use of the Platform (e.g., Thai business laws).

10. CHANGES TO TERMS

We may update these Terms at any time. If the changes are material, we will notify you (e.g., via email or app banner). Continued use after the effective date means you accept the new Terms.
